Il s&rsquo;agit d&rsquo;une baisse de -19,8% \u00e0 taux de change constants ou de -18,9% <\/span><span style=\"font-weight: bold;\"> <\/span><span style=\"font-weight: bold;\">en CHF par rapport \u00e0 l&rsquo;ann\u00e9e pr\u00e9c\u00e9dente. Les march\u00e9s de la marine et de l&rsquo;industrie ont enregistr\u00e9 des taux de croissance \u00e0 deux chiffres au cours du second semestre, par rapport \u00e0 l&rsquo;ann\u00e9e pr\u00e9c\u00e9dente. <\/span><\/p>\n<\/p>\n<p><strong><span style=\"font-weight: bold;\">Mat\u00e9riaux composites<\/span><\/strong><span> a r\u00e9alis\u00e9 un chiffre d&rsquo;affaires net de CHF <\/span><span>221.8<\/span><span>  millions d&rsquo;euros pour 2021. Il s&rsquo;agit d&rsquo;une baisse de   <\/span><span>-21.1<\/span><span>% \u00e0 taux constants par rapport \u00e0 2020. Cette baisse est due \u00e0 la diminution de la demande de vent et \u00e0 la r\u00e9duction mondiale des volumes et des prix du balsa.  Les march\u00e9s de la marine et de l&rsquo;industrie ont enregistr\u00e9 des performances solides et des taux de croissance \u00e0 deux chiffres.<\/span><\/p>\n<p><span> <\/span><\/p>\n<p><strong><span style=\"font-weight: bold;\">Kitting<\/span><\/strong><span> a enregistr\u00e9 un chiffre d&rsquo;affaires net de CHF <\/span><span>185.5<\/span><span>  millions d&rsquo;euros pour 2021. Il s&rsquo;agit d&rsquo;une diminution de &#8211; <\/span><span>17.8<\/span><span>% \u00e0 taux de change constants par rapport \u00e0 2020. Les ventes nettes de kits ont \u00e9galement \u00e9t\u00e9 affect\u00e9es par le ralentissement de la fabrication des pales d&rsquo;\u00e9oliennes et par la baisse des prix des mat\u00e9riaux.   <\/span><\/p>\n<p><span> <\/span><\/p>\n<p><span>L&rsquo;unit\u00e9 op\u00e9rationnelle <\/span><span style=\"font-weight: bold;\">Manufacturing Solutions (Tooling) <\/span><span>a r\u00e9alis\u00e9 un chiffre d&rsquo;affaires net de CHF <\/span><span>73.2<\/span><span> millions, ce qui repr\u00e9sente une baisse de &#8211;<\/span><span>28.3<\/span><span>% \u00e0 taux de change constants par rapport \u00e0 2020. Le deuxi\u00e8me semestre 2021 a \u00e9t\u00e9 marqu\u00e9 par un affaiblissement du march\u00e9 de l&rsquo;outillage en g\u00e9n\u00e9ral et en particulier en Chine. <\/span><\/p>\n<p><span> <\/span><\/p>\n<p><strong><span style=\"font-weight: bold;\">Aerospace<\/span><\/strong><span> a r\u00e9alis\u00e9 un chiffre d&rsquo;affaires net de <\/span><span>30.1<\/span><span>  millions d&rsquo;euros pour 2021. La nouvelle structure d&rsquo;action propos\u00e9e renforcera la gouvernance d&rsquo;entreprise de Gurit et offrira des droits de vote \u00e9gaux \u00e0 tous les actionnaires.   <\/span><\/span><\/span><\/p>\n<p><span><span> <\/span><\/span><\/p>\n<p><span><span><span>Les actionnaires nominatifs importants actuels ont indiqu\u00e9 qu&rsquo;ils acceptaient de renoncer \u00e0 leurs privil\u00e8ges en mati\u00e8re de droits de vote en faveur d&rsquo;une nouvelle structure d&rsquo;action unique, sans compensation. Les droits de vote de l&rsquo;ensemble des actionnaires nominatifs actuels passeraient de 36,4 % \u00e0 10,3 % apr\u00e8s l&rsquo;introduction de l&rsquo;action nominative unique.   <\/span><\/span><\/span><\/p>\n<p><span><span> <\/span><\/span><\/p>\n<p><strong><span><span><span style=\"font-weight: bold;\">Fractionnement des actions au porteur actuelles dans un rapport de 1:10<\/span><\/span><\/span><\/strong><\/p>\n<p><span><span><span>Les actions au porteur cot\u00e9es de Gurit ont connu une augmentation significative de leur prix au cours des derni\u00e8res ann\u00e9es. Afin de faciliter le n\u00e9goce pour les investisseurs priv\u00e9s, le conseil d&rsquo;administration proposera une division des actions dans un rapport de 1:10 lors de l&rsquo;assembl\u00e9e g\u00e9n\u00e9rale annuelle pr\u00e9vue le 20 avril 2022. Cela concerne 420 000 actions au porteur Gurit d&rsquo;une valeur nominale de CHF 50.00 chacune (num\u00e9ro de valeur suisse 801223, ISIN CH0008012236, symbole GUR) cot\u00e9es \u00e0 la SIX Swiss Exchange. En m\u00eame temps, le conseil d&rsquo;administration proposera une division des actions nominatives de Gurit Holding AG, actuellement non cot\u00e9es, dans la proportion de 1:2. Si l&rsquo;assembl\u00e9e g\u00e9n\u00e9rale annuelle approuve ces propositions, les divisions d&rsquo;actions entreront en vigueur au d\u00e9but du mois de mai 2022.<\/span><\/span><\/span><\/p>\n<p><span><span> <\/span><\/span><\/p>\n<p><span><span>La division des actions au porteur deviendrait effective en m\u00eame temps que la mise en \u0153uvre de la structure d&rsquo;action unique. Le capital-actions de Gurit resterait fix\u00e9 \u00e0 23 400 000 francs suisses, et se composerait d\u00e9sormais de 4 680 000 actions nominatives d&rsquo;une valeur nominale de 5 francs suisses chacune, qui seraient toutes cot\u00e9es \u00e0 la SIX Swiss Exchange.
